Mergers and Aquisitions Power Session

“Mergers and Acquisitions. Whether you are doing the acquiring, being acquired or preparing an exit, “being prepared” is key.

 You will not want to miss the insights this panel of experts will provide as we talk about Mergers and Acquisitions with the focus on getting prepared NOW.  It doesn’t matter if this isn’t on the horizon for you right now – there are things you can think about today that will lay the groundwork for a smooth transaction whenever it does come about.

We will start with reviewing Metrics and Deal Structures with Alex Graham of RBC, Jason Myler of MHT Partners and Win Bear of SVB.  They will review some deals that have been done in the last year, and will focus in on smaller technology and B2B companies.  It has been a very hot, busy market lately with interesting deals going on in M&A with big variations in valuations.  Find out what structures are being used and what the trends are.

Next, we will look at Tax with Santino Mariani, Tax Partner, KPMG.  What is the right tax structure?  What can you do now to prepare your company?  What do you do if the company you are acquiring is in the US?  Santino can answer all your questions and will help to ensure you are set up properly before the transaction.

We will also look at Deal prep and Getting to commitment with David Pamenter of Gowlings.  They will discuss how to get your entire business ready for whatever the transaction is, and will talk about Letters of Intent.

 Finally, we will talk about Due diligence with Richard Pay, Partner in the Deals Group with PWC. What is the process, how do you organize, what products are useful, and what are people looking for?
